Neither EQUITYEXCEL LLC nor its affiliated businesses, nor any person associated with the creation or maintenance of this EquityExcel calculator or its contents, shall be liable to you for any harm, loss or damage, including, without limitation, any direct, indirect, special, third party, or consequential damages, that may arise in connection with your use, or inability to use, this EquityExcel calculator. You agree to indemnify and hold EQUITYEXCEL LLC, its officers, directors, employees, and agents, and the officers, directors, employees and agents of its affiliated businesses, harmless from and against any liability, claim, loss, damage and/or expense, including reasonable attorneys' fees, arising directly or indirectly out of your use of this EquityExcel calculator or your violation of this Agreement.

The failure of EQUITYEXCEL LLC to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.  If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, the invalid provision will be severed from this Agreement and all remaining provisions will continue to be enforceable by their terms and of full force and effect.  EQUITYEXCEL LLC’s products and services may be available only in the geographic areas where they may be lawfully offered for sale, and they may not be available in certain areas.

This Agreement shall be governed, interpreted, construed and enforced in accordance with the laws of the State of Illinois.
